Welcome to Eventgroove Events (events.eventgroove.com) (the "Events Platform" or "Platform").
These Eventgroove Events Terms of Use ("Events Terms") supplement and are incorporated into the Eventgroove Terms of Use available at https://events.eventgroove.com/terms-of-use (the "General Terms"). Capitalized terms used but not defined in these Events Terms have the meanings given to them in the General Terms.
By accessing or using the Events Platform, you agree to be bound by both the General Terms and these Events Terms. In the event of any conflict between these Events Terms and the General Terms, these Events Terms shall control with respect to your use of the Events Platform.
PLEASE REVIEW THESE EVENTS TERMS CAREFULLY. THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN THE GENERAL TERMS APPLY TO ALL DISPUTES ARISING FROM YOUR USE OF THE EVENTS PLATFORM.
1. DEFINITIONS AND USER CATEGORIES
1.1 User Categories
The Events Platform serves two primary categories of users:
- "Event Organizers" means individuals, businesses, nonprofit organizations, or other entities that create, manage, promote, and sell tickets or registrations for events through the Platform.
- "Ticket Buyers" or "Attendees" means individuals who purchase tickets, registrations, or other admission rights to events through the Platform.
1.2 Additional Definitions
- "Event" means any event, gathering, activity, performance, class, workshop, conference, or other occasion for which tickets or registrations are sold through the Platform.
- "Event Page" means the webpage on the Platform where an Event is listed and where Ticket Buyers may purchase tickets or registrations.
- "Service Fees" means the fees charged by Eventgroove for use of the Platform, as described in Section 3.
- "Payment Processor" means Stripe, Inc. or its affiliates, which processes payments on the Platform.
- "Processing Fees" means the fees charged by the Payment Processor for payment processing services.
2. THE PLATFORM AND SERVICES
2.1 Platform Services
The Events Platform provides online ticketing, registration, and event management services. Event Organizers may use the Platform to:
- Create and publish Event Pages with event details, ticketing options, and pricing
- Sell tickets and registrations to Ticket Buyers
- Manage attendee information and check-in
- Access marketing tools, including email marketing capabilities
- Receive payment for ticket and registration sales
2.2 Role of Eventgroove
Eventgroove provides the Platform as a technology service and is not the organizer, host, or producer of any Event listed on the Platform. Eventgroove acts solely as a platform between Event Organizers and Ticket Buyers. The contract for attendance at an Event is between the Event Organizer and the Ticket Buyer. Eventgroove is not a party to that contract and has no obligations or liability arising from it, except as expressly stated in these Events Terms.
2.3 No Endorsement
The listing of an Event on the Platform does not constitute an endorsement, recommendation, or guarantee by Eventgroove of the Event, Event Organizer, or any goods or services associated with the Event. Eventgroove does not verify the accuracy of Event information, the qualifications of Event Organizers, or the quality of Events.
3. FEES AND PAYMENT
3.1 Service Fees
Eventgroove charges Service Fees for use of the Platform. Unless otherwise agreed in writing, the current Service Fees are:
- Per-Ticket Fee: 2% of the ticket face value plus $0.50 per ticket, capped at a maximum of $9.90 per ticket. Note, the service fee will increase to 2% of ticket value + 75¢ on March 31, 2026.
Service Fees are calculated on the ticket face value before taxes and are deducted from the gross ticket revenue before payout to the Event Organizer.
3.2 Payment Processing Fees
In addition to Service Fees, the Payment Processor (Stripe) charges Processing Fees for each transaction. As of the date of these Events Terms, Stripe's standard Processing Fees are 2.9% plus $0.30 per transaction. Processing Fees are subject to change by Stripe and are governed by your agreement with Stripe. Processing Fees are deducted from the gross ticket revenue before payout to the Event Organizer.
3.3 Fee Modifications
Eventgroove reserves the right to modify Service Fees upon thirty (30) days' prior notice. Modified fees will apply to Events created after the effective date of the change. Fees for Events created before a fee change will not be affected.
3.4 Taxes
Event Organizers are solely responsible for determining and collecting any applicable taxes on ticket sales, including sales tax, value-added tax, goods and services tax, or other transaction taxes. Eventgroove does not provide tax advice, and Event Organizers should consult with their own tax advisors regarding their tax obligations.
4. PAYMENT PROCESSING AND PAYOUTS
4.1 Stripe Account Requirement
To receive payouts for ticket sales, Event Organizers must connect or create a Stripe account through the Platform. By connecting a Stripe account, you agree to Stripe's terms of service and authorize Eventgroove to facilitate payments to your Stripe account.
4.2 Payout Timing
Payouts to Event Organizers are processed through Stripe and are typically deposited within one to two (1-2) business days after a ticket purchase, subject to Stripe's standard payout schedule and policies. Stripe may, in its discretion, hold reserves or delay payouts in accordance with its terms of service and risk management practices.
4.3 Payout Calculation
Payouts equal the gross ticket revenue minus: (a) Eventgroove Service Fees; (b) Stripe Processing Fees; and (c) any refunds, chargebacks, or adjustments.
4.4 Currency
All transactions and payouts are processed in U.S. Dollars unless otherwise specified. Event Organizers receiving payouts in other currencies may be subject to currency conversion fees imposed by Stripe.
5. EVENT ORGANIZER OBLIGATIONS
5.1 Accurate Event Information
Event Organizers represent and warrant that all information provided about their Events is accurate, complete, and not misleading. This includes event descriptions, dates, times, locations, pricing, refund policies, age restrictions, and any other material information.
5.2 Event Delivery
Event Organizers are solely responsible for producing and delivering their Events as advertised. This includes securing venues, obtaining necessary permits and licenses, providing advertised performers or speakers, and ensuring the Event meets reasonable expectations based on the Event Page description.
5.3 Legal Compliance
Event Organizers shall comply with all applicable laws, regulations, and ordinances related to their Events, including but not limited to: (a) venue capacity and safety requirements; (b) alcohol licensing and service laws; (c) accessibility requirements; (d) employment and labor laws; (e) tax collection and remittance obligations; and (f) consumer protection laws.
5.4 Insurance
Event Organizers are responsible for obtaining appropriate insurance coverage for their Events, including general liability insurance, and any other coverage required by their venue or applicable law.
5.5 Communication with Attendees
Event Organizers are responsible for communicating directly with Ticket Buyers regarding event details, changes, and any issues related to the Event. Eventgroove may, but is not obligated to, facilitate such communications through the Platform.
6. PROHIBITED EVENTS AND CONTENT
6.1 Prohibited Events
The following types of Events are prohibited on the Platform:
- Events that violate any applicable law, regulation, or ordinance
- Events involving illegal substances or controlled substances (except lawful medical cannabis events where permitted by law)
- Events promoting or facilitating illegal gambling or gaming activities
- Events featuring sexually explicit or adult content
- Events promoting violence, hate speech, discrimination, or harassment based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or other protected characteristics
- Events involving weapons sales or firearms (except lawful, licensed gun shows complying with all applicable laws)
- Multi-level marketing, pyramid schemes, or fraudulent investment opportunities
- Events that infringe intellectual property rights of third parties
- Events that Eventgroove determines, in its sole discretion, are harmful to the Platform, its users, or the public
6.2 Enforcement
Eventgroove reserves the right to remove any Event, suspend any Event Organizer account, and withhold payouts if Eventgroove determines that an Event or Event Organizer violates these Events Terms, the General Terms, or applicable law. Eventgroove is not obligated to pre-screen Events and assumes no liability for Events that violate these prohibitions.
7. REFUNDS AND CANCELLATIONS
7.1 Event Organizer Refund Policy
Each Event Organizer is responsible for establishing and clearly disclosing a refund policy for their Event on the Event Page. Refund policies may vary by Event Organizer and Event. Ticket Buyers should review the applicable refund policy before purchasing tickets.
7.2 Refund Responsibility
Event Organizers are solely responsible for processing refunds to Ticket Buyers in accordance with their stated refund policy and applicable law. Eventgroove facilitates refund processing through the Platform but does not make refund decisions on behalf of Event Organizers.
7.3 Service Fee Refunds
When an Event Organizer issues a refund to a Ticket Buyer, Eventgroove will refund its Service Fees to the Event Organizer. Payment Processor fees may or may not be refundable depending on Stripe's policies and the timing of the refund.
7.4 Event Cancellation
If an Event Organizer cancels an Event, the Event Organizer is solely responsible for refunding all Ticket Buyers the full ticket purchase price. Event Organizers must promptly notify all Ticket Buyers of the cancellation and process refunds within a reasonable time, not to exceed fourteen (14) days from the cancellation announcement.
7.5 Event Postponement
If an Event is postponed, the Event Organizer must promptly notify Ticket Buyers of the new date. Event Organizers should honor requests for refunds from Ticket Buyers who cannot attend the rescheduled Event, subject to the Event Organizer's stated refund policy and applicable law.
7.6 Eventgroove's Rights
If an Event Organizer fails to issue refunds as required by their refund policy, applicable law, or these Events Terms, Eventgroove reserves the right to: (a) issue refunds to Ticket Buyers on behalf of the Event Organizer; (b) deduct refund amounts from the Event Organizer's pending payouts or future earnings; (c) charge the Event Organizer's connected payment method; and/or (d) suspend or terminate the Event Organizer's account.
8. CHARGEBACKS AND DISPUTES
8.1 Chargeback Responsibility
Event Organizers bear full financial responsibility for chargebacks (disputed transactions) related to their Events. When a Ticket Buyer disputes a charge with their bank or credit card company, the disputed amount plus any chargeback fees imposed by the Payment Processor will be deducted from the Event Organizer's pending payouts or future earnings, or charged to the Event Organizer's connected payment method.
8.2 Chargeback Defense
Event Organizers are responsible for responding to and defending against chargebacks. Eventgroove may, but is not obligated to, assist Event Organizers in responding to chargebacks by providing transaction records and other documentation. Event Organizers must cooperate with Eventgroove and provide requested information to support chargeback responses.
8.3 Excessive Chargebacks
If an Event Organizer experiences an excessive rate of chargebacks (as determined by Eventgroove or the Payment Processor), Eventgroove may: (a) require the Event Organizer to implement additional fraud prevention measures; (b) withhold a reserve from future payouts; (c) delay payouts until after Events conclude; and/or (d) suspend or terminate the Event Organizer's account.
8.4 Negative Balance
If chargebacks, refunds, or other adjustments result in a negative balance in an Event Organizer's account, the Event Organizer is obligated to pay the outstanding balance within ten (10) business days of notice. Eventgroove may recover the negative balance from future earnings, charge the Event Organizer's connected payment method, or pursue collection through other lawful means.
9. TICKET TRANSFERS AND RESALE
9.1 Event Organizer Control
Each Event Organizer may establish and disclose policies regarding whether and how tickets may be transferred or resold. Ticket Buyers should review the applicable transfer and resale policy on the Event Page before purchasing tickets.
9.2 Transfer Facilitation
Where permitted by the Event Organizer, the Platform may provide features to facilitate ticket transfers. Eventgroove does not guarantee that transfer features will be available for all Events or that transfers will be successful.
9.3 Unauthorized Resale
Ticket Buyers shall not resell tickets in violation of the Event Organizer's stated policy or applicable law. Eventgroove reserves the right to cancel tickets that are resold in violation of these Events Terms or applicable law, without refund.
10. EMAIL MARKETING
10.1 Marketing Tools
The Platform provides email marketing tools that allow Event Organizers to communicate with contacts and promote their Events. Event Organizers may upload contact lists and use the Platform's email functionality to send marketing communications.
10.2 Compliance Responsibility
Event Organizers are solely responsible for ensuring that their use of email marketing features complies with all applicable laws and regulations, including but not limited to: (a) the CAN-SPAM Act; (b) the Telephone Consumer Protection Act (TCPA); (c) the General Data Protection Regulation (GDPR); (d) the California Consumer Privacy Act (CCPA); and (e) any other applicable anti-spam, privacy, or data protection laws.
10.3 Consent Requirements
Event Organizers represent and warrant that: (a) all contacts on uploaded marketing lists have provided appropriate consent to receive marketing communications from the Event Organizer; (b) the Event Organizer has the legal right to send marketing communications to all contacts; and (c) the Event Organizer will honor all opt-out and unsubscribe requests promptly.
10.4 Prohibited Content
Event Organizers shall not use the email marketing features to send: (a) spam or unsolicited commercial messages; (b) misleading or deceptive content; (c) content that violates the Content Standards in the General Terms; (d) content that infringes third-party rights; or (e) content promoting Events prohibited under Section 6.
10.5 Suspension of Marketing Privileges
Eventgroove may suspend or terminate an Event Organizer's access to email marketing features if: (a) Eventgroove receives complaints about the Event Organizer's marketing practices; (b) the Event Organizer's emails have high bounce rates or spam complaint rates; (c) the Event Organizer violates these Events Terms or applicable law; or (d) Eventgroove determines suspension is necessary to protect the Platform's email deliverability reputation.
11. DATA AND PRIVACY
11.1 Ticket Buyer Data
When Ticket Buyers purchase tickets through the Platform, Eventgroove collects certain information ("Ticket Buyer Data") including name, email address, phone number, and other information provided during checkout. Event Organizers receive full access to Ticket Buyer Data for attendees of their Events.
11.2 Event Organizer Data Responsibilities
Event Organizers are responsible for their collection, use, and processing of Ticket Buyer Data in accordance with: (a) the Event Organizer's own privacy policy, which Event Organizers must maintain and disclose to Ticket Buyers; (b) all applicable privacy and data protection laws; and (c) Section 7 (Customer Data Ownership) and Section 13 (Data Protection and Privacy Compliance) of the General Terms.
11.3 Data Processing Relationship
With respect to Ticket Buyer Data, Event Organizers act as data controllers (or "businesses" under CCPA) and Eventgroove acts as a data processor (or "service provider" under CCPA), as further described in Section 13 of the General Terms.
11.4 Required Privacy Disclosures
Event Organizers must provide adequate privacy notices to Ticket Buyers explaining how their personal information will be collected, used, and shared. Event Organizers may satisfy this requirement by linking to their privacy policy on the Event Page.
12. TICKET BUYER ACKNOWLEDGMENTS
By purchasing tickets through the Platform, Ticket Buyers acknowledge and agree that:
- Eventgroove is a technology platform and is not the organizer or host of any Event
- The Event Organizer, not Eventgroove, is responsible for the Event and its delivery
- Refund eligibility is determined by the Event Organizer's stated refund policy and applicable law
- Ticket Buyer Data will be shared with the Event Organizer
- The Event Organizer may contact the Ticket Buyer regarding the Event and related matters
- Ticket transfer and resale are subject to the Event Organizer's policies
13. INDEMNIFICATION
13.1 Event Organizer Indemnification
In addition to the indemnification obligations in the General Terms, Event Organizers agree to indemnify, defend, and hold harmless Eventgroove and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the Event Organizer's Events, including any injuries, property damage, or other harm occurring at Events; (b) the Event Organizer's failure to deliver Events as advertised; (c) the Event Organizer's refund, cancellation, or postponement of Events; (d) the Event Organizer's use of email marketing features; (e) the Event Organizer's collection, use, or processing of Ticket Buyer Data; (f) chargebacks related to the Event Organizer's transactions; and (g) any claims by Ticket Buyers or other third parties related to the Event Organizer's Events or use of the Platform.
13.2 Ticket Buyer Indemnification
Ticket Buyers agree to indemnify, defend, and hold harmless Eventgroove and its affiliates from and against any claims arising from the Ticket Buyer's: (a) attendance at Events; (b) violations of Event rules or policies; and (c) unauthorized resale or transfer of tickets.
14. LIMITATION OF LIABILITY
The limitations of liability in the General Terms apply to the Events Platform. Without limiting those provisions:
- Eventgroove is not liable for any Event being cancelled, postponed, or failing to meet expectations
- Eventgroove is not liable for any injuries, property damage, or other harm occurring at Events
- Eventgroove is not liable for Event Organizers' failure to issue refunds or honor their refund policies
- Eventgroove is not liable for Payment Processor holds, reserves, or payout delays
- Eventgroove is not liable for losses resulting from Event Organizer or Ticket Buyer violations of these Events Terms
15. DISCLAIMERS
In addition to the disclaimers in the General Terms:
- No Event Guarantee. Eventgroove does not guarantee that any Event will occur as scheduled or at all, that Events will meet Ticket Buyer expectations, or that Event Organizers will fulfill their obligations to Ticket Buyers.
- No Organizer Verification. Eventgroove does not verify or endorse Event Organizers and makes no representations about their qualifications, reliability, or trustworthiness.
- No Payment Guarantee. Eventgroove does not guarantee that Event Organizers will receive payouts, as payouts are subject to Payment Processor policies and these Events Terms.
16. TERMINATION
Termination of access to the Events Platform is governed by Section 25 (Account Lifecycle) of the General Terms. Upon termination:
- Event Organizers remain responsible for fulfilling all obligations to Ticket Buyers for Events already sold
- Pending payouts may be delayed or withheld until all obligations are satisfied and chargeback risk periods have passed
- Eventgroove may continue to process refunds and chargebacks from the Event Organizer's funds
17. MODIFICATIONS TO THESE EVENTS TERMS
Eventgroove may modify these Events Terms at any time by posting the revised version on the Platform. Changes are effective immediately upon posting. Your continued use of the Events Platform after changes are posted constitutes acceptance of the modified Events Terms. We encourage you to review these Events Terms periodically.
